Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Onederful LLC ("Onederful," "we," "us"), the operator of BranchText (the "Service"). By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. The Service

BranchText provides automated missed-call text-back and follow-up messaging for service businesses. We provision a messaging-enabled phone number, send text messages on your behalf in response to calls you miss, and provide an inbox, follow-up automation, and reporting.

2. Your account

You must provide accurate business information and keep your login secure. You are responsible for all activity under your account. You must be at least 18 and authorized to act for your business.

3. Messaging, consent, and compliance (important)

You are the "sender" of all messages sent through your account and are solely responsible for them. By using the Service you represent and agree that:

  • You have a prior business relationship with, or the necessary consent from, each person who receives a message — for example, a person who called your business. You will not use the Service to send unsolicited, cold, or bulk marketing messages to people who have not contacted you.
  • You will comply with all applicable laws and rules, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA messaging principles, A2P 10DLC requirements, and mobile-carrier rules.
  • You will honor opt-outs. The Service automatically processes STOP/UNSUBSCRIBE and HELP keywords, and you will not attempt to circumvent them.
  • You will not send prohibited content, including messages related to sex, hate, alcohol, firearms, tobacco/cannabis (SHAFT), or any illegal, fraudulent, or deceptive content.
  • You are responsible for the accuracy of the business information you provide for A2P 10DLC brand and campaign registration.

4. Fees, free trial, and billing

  • Your first month is free (a 30-day trial). A valid payment method is required to start.
  • After the trial, the subscription is $297 per month, billed in advance and renewing monthly until cancelled.
  • You may cancel at any time, including by replying "cancel" by text. Cancellation stops future renewals; fees already paid are non-refundable and partial months are not prorated.
  • Pass-through carrier or registration fees, if any, may be billed separately.

5. Acceptable use

You will not misuse the Service, interfere with its operation, attempt to access it without authorization, or use it to violate any third party's rights.

6. Privacy

Our handling of data is described in our Privacy Policy. You are the controller of your customers' information processed through the Service and are responsible for having the right to provide it to us for processing.

7. No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that messages will be delivered, that the Service will be uninterrupted or error-free, or that it will meet your requirements. Message deliverability depends on carriers and other third parties outside our control.

8. Indemnification

You will defend, indemnify, and hold harmless Onederful and its officers, employees, and agents from any claims, damages, penalties, fines, and costs (including reasonable attorneys' fees) arising out of or related to your messages, your use of the Service, your violation of these Terms, or your violation of any law or third-party right — including any claim under the TCPA or similar law arising from messages sent through your account.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEDERFUL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Suspension and termination

We may suspend or terminate the Service if you breach these Terms, create legal or carrier risk, or fail to pay. You may stop using the Service at any time. Sections that by their nature should survive termination (including 3, 8, 9, and 11) survive.

11. Governing law and dispute resolution

These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law rules. Any dispute will be resolved by binding arbitration on an individual basis. YOU AND ONEDERFUL WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

12. Changes

We may update these Terms; material changes will be posted here with an updated version. Your continued use after changes take effect constitutes acceptance.
